Terms of service

The agreement between you and Traack for use of the service.

Agreement

These terms govern access to and use of the Traack service, including the web application, the agent, integrations and any related consulting work. By creating an account or using the service you agree to these terms on behalf of yourself and, where applicable, the organisation you represent.

Where you have a signed order form or master services agreement with Traack, that agreement takes precedence over these terms if they conflict.

The service

Traack provides an AI agent that collects, tests and documents audit evidence on your behalf, following test procedures agreed with your team. Traack also provides the consulting work needed to capture those procedures as skills in your workspace.

The agent drafts. Your team reviews, decides on every exception and signs off. Traack does not provide audit, assurance, legal or accounting opinions, and its output is not a substitute for the professional judgement of a qualified auditor.

Your responsibilities

  • Keep your sign-in credentials confidential and notify us promptly of any unauthorised use of your account.
  • Only connect systems and upload evidence that you are authorised to use, and only for the engagement you are using Traack for.
  • Do not use the service to build a competing product, to probe or disrupt its infrastructure, or to process data in breach of any law or third-party right.
  • Review the agent's output before relying on it. You remain responsible for the conclusions your team reaches and files.

Your data and our service

You own the evidence, files and workpapers you upload to or create with Traack. You grant Traack a limited licence to process that material solely to provide the service to you. Traack owns the service, the agent, the skills framework and any improvements to them. Skills written for your organisation are licensed to you for the term of your agreement.

Fees

Fees, billing cycles and payment terms are set out in your order form. Unless it says otherwise, fees are invoiced annually in advance, are non-refundable and exclude applicable taxes. We may suspend access for invoices more than 30 days overdue after giving written notice.

Confidentiality

Each party will keep the other's confidential information private and use it only to perform under these terms. Traack treats all evidence you provide as confidential. Our handling of personal data is described in the Privacy policy, which forms part of these terms.

Warranties and liability

The service is provided as described in our documentation. Except as expressly stated, Traack disclaims all other warranties, including fitness for a particular purpose. To the extent permitted by law, Traack's total liability under these terms is limited to the fees you paid in the twelve months before the claim, and neither party is liable for indirect or consequential loss. Nothing limits liability for fraud, wilful misconduct or a party's breach of confidentiality.

Term and termination

Either party may terminate for material breach that is not cured within 30 days of written notice. On termination you may export your data for 30 days, after which Traack deletes it as described in the Security page. Sections on ownership, confidentiality, liability and governing law survive termination.

Changes and governing law

We may update these terms from time to time. Material changes will be notified to your account contact at least 30 days before they take effect. Continued use of the service after that date is acceptance of the new terms.

These terms are governed by the laws of the State of Delaware, United States, and any dispute will be heard in the courts located there. Questions about these terms can be sent to hello@traack.ai.
